Terms and Conditions

These Terms & Conditions ("Terms") form the exclusive agreement governing the sale of products ("Products") between Valley Studio and you ("Customer"). Should a signed written agreement exist between Valley Studio and Customer regarding the Products in question, that agreement shall take precedence where it conflicts with these Terms. The invoice ("quote/invoice") together with these Terms constitute the complete agreement and replace any previous discussions, agreements, or communications of any kind, whether written or verbal. These Terms supersede any of Customer's standard purchase terms, regardless of whether or when Customer has submitted a purchase order. Completion of an order does not constitute acceptance of Customer's own terms and does not change or supplement these Terms.

The price for the Products is indicated on the quote/invoice. Orders cannot be processed for shipment unless the total amount specified on the quote/invoice has been received. Customer may not defer or reduce payment due to any disagreement, counterclaim, or dispute with Valley Studio, including disputes over Valley Studio's performance or financial standing.

Wire Transfer Charges: Customer is responsible for all associated banking fees, including a $30.00 charge per wire transfer.

Full payment must be received before Products ship to your designated address. For white glove or inside delivery options, Customer must verify that Products have clear, unobstructed access to their final location. Customer is responsible for confirming Products will fit through available elevators, doors, turns, and into intended rooms. Valley Studio delivers ground floor only unless a functioning elevator is present. Additional charges apply if stairs must be navigated.

Delivery excludes assembly, mounting, installation of fixtures, or relocating existing furniture. Pricing quotes for international and air freight shipments are firm for seven (7) days only. If Customer does not accept the quote or is not ready to ship within this timeframe, new quotes will be required. For non-US destinations, Customer assumes responsibility for all import duties, customs fees, and applicable taxes.

Delivery Timeframes: Estimated delivery dates are approximations and not guaranteed. Valley Studio cannot be held responsible for delays. Lead times commence upon Valley Studio's receipt of signed documentation, a 50% deposit against the total quote/invoice amount, and all required supporting materials and specifications.

Storage: Valley Studio holds Products at no cost for thirty (30) days after they are ready for shipment. Following this period, a charge of $25.00 per item per day applies if Customer cannot accept delivery ("Storage Fee"). This fee must be settled before shipment occurs.

Customer must examine Products immediately upon delivery and report any visible damage to packaging or Products within forty-eight (48) hours by email, marking the delivery as "Damaged – Pending Inspection." All damage claims must be submitted within forty-eight (48) hours of receipt. Products intended for storage should be inspected before putting away. Claims not submitted within forty-eight (48) hours are deemed waived. Customer must photograph both the packaging and damage, keeping all materials for inspection. Valley Studio accepts no responsibility for damage once Products leave their original delivery location or after forty-eight (48) hours elapse. Valley Studio disclaims liability for indirect, consequential, or incidental damages including business interruption, lost profits, lost data, or diminishment in value, or for costs related to reinstallation, repairs, equipment rental, or remedial work.

Returns & Exchanges: Discounted, special, custom, made-to-order, or commissioned Products cannot be returned, exchanged, or cancelled—all such orders are final. In-stock Products may be returned within one (1) day of purchase for refund via ACH only. Store credit exchanges are available within seven (7) days of purchase provided Products remain in original packaging. Returns and exchanges are not accepted after seven (7) days.

Limitation of Liability: Valley Studio shall not be liable for any indirect, special, incidental, consequential, or punitive damages, including loss of profits, data loss, revenue loss, or diminished value, regardless of whether such damages could be foreseen or whether Valley Studio was notified of their possibility. This limitation applies to all claims, whether based on contract, tort, or negligence. Valley Studio's total liability shall not exceed the amount Customer paid for the Products.

Photos and Images: Website images, photographs, digital renderings, and other visual representations are illustrative only. While Valley Studio strives for accuracy, variations in camera work, lighting, screen settings, and the inherent qualities of natural or artisanal materials may create differences between what you see online and what you receive.

Handcrafted and Natural Material Variations: Many Valley Studio pieces are created by artisans or incorporate natural materials. Color, texture, grain, pattern, finish, and appearance naturally vary. This is inherent to handcrafted and natural products and includes:

• Artisanal creation techniques and handwork
• Natural material characteristics such as wood, stone, and fabric
• Lot-to-lot production variations
• Natural aging and finishing
• Craftsman interpretation and execution

These characteristics are intrinsic to the products and are not considered flaws or defects.

Online Products May Differ: Valley Studio cannot guarantee Products will precisely match their online display. You agree that received items may differ from online images while remaining consistent with stated product specifications and quality.

Valley Studio makes reasonable efforts to provide accurate and reliable information; however, we provide no warranties regarding completeness, accuracy, reliability, fitness, or availability of any information. Use of our information is entirely at your own risk.

Legal Compliance: Customer must comply with all applicable laws, ordinances, and regulations. Customer must obtain and maintain all necessary licenses, permits, authorizations, and approvals required to fulfill its obligations. Customer must comply with all international trade laws governing the Products. Customer is solely responsible for managing import documentation and clearances. Valley Studio may terminate this Agreement if governmental action imposes tariffs, duties, or penalties on the Products.

Termination Rights: Valley Studio may terminate this Agreement immediately upon written notice if: (i) Customer fails to pay any amount when due; (ii) Customer breaches or fails to comply with these Terms; or (iii) Customer becomes insolvent, bankrupt, or subject to receivership or reorganization proceedings.

Waiver: Valley Studio's failure to enforce any right under these Terms does not constitute a waiver of that right. Waivers are only effective if made in writing and signed by Valley Studio. Single or partial exercise of any right does not prevent further exercise of that or any other right.

Unforeseen Circumstances: Neither party is liable for failure or delay in performing obligations caused by circumstances beyond reasonable control, including: natural disasters, weather events, pandemics, war, civil unrest, government action, embargoes, supply chain disruptions, labor disturbances, or utility failures. The affected party must notify the other within ten (10) days of the event, including expected duration. Both parties must work to minimize impact and resume performance when the cause is removed. If performance remains blocked for 60 days, either party may terminate with 30 days' written notice.

No Transfer of Rights: Customer cannot transfer rights or delegate obligations under these Terms without Valley Studio's prior written consent. Unauthorized transfer is void and does not relieve Customer of obligations.

Independent Parties: Valley Studio and Customer are independent parties. Nothing in these Terms creates a partnership, agency, joint venture, or employment relationship. Neither party has authority to bind the other.

Third-Party Rights: These Terms benefit only Valley Studio and Customer and their successors. No third party has any rights or remedies under these Terms.

Applicable Law: These Terms are governed by New York State law, without regard to conflicts-of-law principles.

Jurisdiction: Any legal action must be brought in federal or New York state courts located in New York City. Both parties consent to these courts' exclusive jurisdiction.

Communications: All notices must be in writing and delivered by personal hand delivery, overnight courier, facsimile with confirmation, or certified/registered mail (return receipt requested). Notices are effective upon receipt if proper delivery methods are used.

Partial Invalidity: If any Term is invalid or unenforceable, the remainder continues in full force.

Continuing Provisions: Terms intended to survive termination, including legal compliance, governing law, jurisdiction, and this survival clause, remain in effect.
